10. Website and Service Availability
We may modify, suspend, restrict, or discontinue any part of the website or services at any time.
We do not guarantee that the website or services will always be available, uninterrupted, secure, or error-free. Maintenance, technical failures, security concerns, third-party outages, or circumstances outside our control may affect availability.
11. Disclaimer of Warranties
To the fullest extent permitted by applicable law, our website, content, programs, and services are provided “as is” and “as available.”
Nextra Labs disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and results.

Content will be complete, current, accurate, or suitable for every purpose.
The website or services will operate without interruption or error.
Defects or security vulnerabilities will always be corrected.
Any program, recommendation, framework, or service will produce a particular result.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
12. Limitation of Liability
To the fullest extent permitted by applicable law, Nextra Labs and its owners, officers, employees, contractors, instructors, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the website, content, programs, or services.
This includes loss of revenue, profits, business opportunities, data, goodwill, reputation, or anticipated savings.
To the fullest extent permitted by law, Nextra Labs’ total liability for any claim related to the website or these Terms will not exceed the greater of:
The amount you paid Nextra Labs for the specific service giving rise to the claim during the 12 months preceding the event; or
One hundred U.S. dollars ($100) if you did not pay for the applicable service.
These limitations do not apply where liability cannot legally be limited or excluded. A separate written agreement may establish different liability terms for paid professional services.
13. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Nextra Labs and its owners, officers, employees, contractors, instructors, and partners from claims, liabilities, damages, losses, and reasonable expenses arising from:

You fail to pay applicable fees.
Suspension or termination is required by law.
A service or program is discontinued.
Provisions concerning intellectual property, disclaimers, liability, indemnification, dispute resolution, and other terms that should reasonably survive termination will remain effective.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Unless applicable law requires otherwise, disputes arising from these Terms or your use of the website will be subject to the exclusive jurisdiction of the state and federal courts serving Harris County, Texas.
Before filing a legal claim, you and Nextra Labs agree to make a reasonable good-faith effort to resolve the dispute informally.
16. Changes to These Terms
We may update these Terms to reflect changes in our website, services, business practices, or legal obligations.
Updated Terms will be posted on this page with a revised “Last Updated” date. Your continued use of the website or services after updated Terms become effective constitutes acceptance of those changes where permitted by law.
Material changes affecting a paid program or service may be communicated through additional reasonable means.
17. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
Our failure to enforce a provision does not waive our right to enforce it later.
You may not assign your rights or obligations under these Terms without our written consent. Nextra Labs may assign these Terms as part of a merger, reorganization, sale, or transfer of its business or assets.
These Terms, together with our Privacy Policy and any applicable written agreement, constitute the entire agreement concerning your use of the website and services covered by them.
